1. Learn the song, whether it be by ear or reading a midi through whatever medium
2. Decide the style
3. Keep the themes while building and/or altering the composition around it...remember a straight Midi rip with inserting seperate instruments is NOT a remix!

I recommend you start on the FL Studio demo before you start buying anything. The demo is free and can be found at flstudio.com
Most digital workstations such as FL Studio and Magix Music Maker (what I currently use) have a midi editor in which the tempo and measures represent a timeline and notes represent rectangles varying in length and location. It's difficult to explain, but it's very easy to learn and use if you can hear which notes you're using (or if you have a real keyboard). Besides FL and MMM, there are tons of workstations like Logic, Cubase, Sony ACID, Cakewalk Sonar, ect. They vary in style and price, so it's best to research as much as possible before buying one.
